These General Terms and Conditions govern access to and purchases made through the Professional Area (B2B) of the website www.hera-sport.it.

They apply exclusively to professional customers and, where compatible, supplement the General Terms and Conditions of Sale published on the Website.

1. Scope of application

The Professional Area is reserved exclusively for:

  • retailers;

  • shops;

  • distributors;

  • sports associations;

  • sports clubs;

  • schools;

  • organizations;

  • professionals;

  • other business operators.

Access is permitted exclusively to parties holding a VAT number or another equivalent tax identification number applicable in their country.

2. Registration

Registration for the Professional Area requires the provision of complete and truthful information.

Hera Sport reserves the right to:

  • request additional documentation;

  • verify the information provided;

  • approve or reject the registration;

  • suspend or revoke access at any time in the event of inaccurate information or improper use of the service.

3. Access to reserved prices

Access to professional prices is subject to account approval.

Reserved prices are confidential and intended exclusively for the authorized professional customer.

The disclosure of reserved price lists without the prior written authorization of Hera Sport is prohibited.

4. Prices

The prices published in the Professional Area:

  • may be changed at any time;

  • do not constitute a permanent commitment;

  • may differ from those intended for private customers;

  • may be subject to dedicated promotions.

Unless otherwise indicated, prices are shown excluding or including VAT according to what is displayed during browsing.

5. Product availability

The availability shown on the Website is purely indicative.

Hera Sport may:

  • make partial deliveries;

  • offer alternative products;

  • postpone shipment in the event of temporary unavailability.

6. Orders

Submitting an order constitutes a contractual proposal.

The contract is concluded exclusively upon acceptance of the order by Hera Sport and the sending of a pro-forma invoice.

Hera Sport reserves the right to refuse orders in the cases provided for in the General Terms and Conditions of Sale or where there are commercial, administrative or security reasons.

7. Payment methods

Payments may be made using the systems available on the Website, following the sending of the pro-forma invoice confirming the order.

Any deferred payment terms will be granted exclusively subject to prior written approval by Hera Sport.

8. Shipping

Shipping methods, delivery times, costs and international orders are governed by the Shipping Policy, which forms an integral part of these terms and conditions.

9. Returns

Unless otherwise agreed in writing, purchases made by professional customers do not benefit from the right of withdrawal provided for by Articles 52 et seq. of the Italian Consumer Code, which is reserved for consumers.

The protections provided by the applicable legislation concerning defective or non-conforming products remain unaffected.

10. Warranty

For professional customers, the provisions of the Italian Civil Code and any commercial warranties offered by manufacturers shall apply.

11. Authorized dealers

Registration for the Professional Area does not automatically grant the status of Hera Sport Authorized Dealer.

Any granting of such status, as well as any exclusive distribution or brand representation rights, requires specific approval by Hera Sport.

12. Territorial exclusivity

Unless otherwise agreed in writing, Hera Sport does not grant any territorial exclusivity.

Sales to professional customers belonging to the same country or geographical area do not constitute a violation of any exclusivity right.

13. Use of the trademark

Trademarks, logos, photographs, product descriptions, catalogs, videos and any other promotional material remain the exclusive property of Hera Sport or their respective owners.

The professional customer is authorized to use such material exclusively to promote and market the purchased products, without modifying the content or altering its visual identity, unless prior written authorization has been obtained from Hera Sport.

14. Online sales

Dealers may sell the purchased products online, provided that they:

  • comply with applicable legislation;

  • use accurate descriptions;

  • do not use misleading material or material that may damage the image of the brand;

  • maintain a presentation consistent with Hera Sport's quality standards.

15. Intellectual property

All content on the Website, including photographs, texts, catalogs, images, videos, graphics, trademarks and logos, is protected by applicable intellectual property laws.

Any unauthorized reproduction, modification or use is prohibited.

16. Account suspension

Hera Sport may suspend or revoke access to the Professional Area in the following cases:

  • false information;

  • violation of these terms and conditions;

  • improper use of the portal;

  • non-payment;

  • activities that may damage the image of the brand;

  • violation of applicable legislation.

17. Limitation of liability

Hera Sport shall not be liable for:

  • loss of profits;

  • indirect losses;

  • delays attributable to couriers;

  • customs delays;

  • force majeure events;

  • temporary unavailability of the portal.

Cases of liability that cannot be excluded by law remain unaffected.

19. Applicable law

These terms and conditions are governed by Italian law.

For any dispute relating to the relationship between Hera Sport and professional customers, the Court of Ivrea (TURIN-ITALY) shall have exclusive jurisdiction, unless otherwise provided by mandatory law.

1. Purpose

This Code of Conduct sets out the principles that Hera Sport dealers and business partners are required to comply with in order to ensure a professional, transparent relationship consistent with the values of the brand.

2. Respect for the brand

The dealer undertakes to:

  • use the Hera Sport trademark correctly;

  • not alter logos, images or promotional material without authorization;

  • maintain a professional image of the brand.

3. Commercial communication

The dealer shall:

  • provide accurate information about the products;

  • avoid misleading statements;

  • not attribute to the products characteristics that have not been declared by the manufacturer;

  • comply with applicable legislation concerning advertising and consumer protection.

4. Sale of products

The dealer undertakes to:

7. Professional conduct

The dealer undertakes to:

8. Violations
